As Head of Corporate at Incisive, Walter brings his expertise including Business Advisory, M&A, Transactions and Commercial Agreements, Commercial Litigation, and Dispute Resolution. He has advised clients on billion dollar debt restructuring deals, and continues to advise and act for clients in various multi-million dollar M&A transactions. He is also external general counsel for several of his clients, providing regular legal advisory for their business activities.

Contentious Commercial Litigation

• Assisted Senior Counsel in representing an Indonesian multi-million conglomerate in the then largest debt restructuring in the world (estimated USD 16 billion) and related US securities action, bondholders’ litigation and class action litigation in jurisdictions including Indonesia, Singapore, New York, California, various other parts of the US, Canada, and Bermuda.
• Assisted Senior Counsel in successfully arguing for a dismissal of a defamation case brought by a former opposition member against two former Singapore Prime Ministers.
• Since 2019, advised and commenced claims for several director/shareholder clients based on S. 216 Companies’ Act minority oppression. One High Court minority oppression case Deniyal Bin Kamis V Mapo Engineering Pte Ltd & 2 Ors [2023] SGHC 183 was reported in the Straits Times https://www.straitstimes.com/singapore/courts-crime/man-wins-back-636k-after-suing-fellow-firm-director-for-taking-his-dividends-directors-fees. On appeal, Walter not only managed to defend against the other party’s appeal but increased his own client’s damages by $260,000. Total amount awarded for the client was $2.2 million.
• Employment Claim: Successfully defended client company against employee’s claim of S$153,872.17 based on a alleged “commission scheme”. Reduced to $50.
• Defended Dental Company against various employment claims by its disgruntled dentist employees and rendered advice against potential minority oppression claim.
• Represented clients in a variety of both High Court and State Court matters, involving inter alia employment disputes, misrepresentation claims, setting aside default judgments, fraud, IP disputes, property encroachment, breach of contract and summary judgment.

Non-Contentious Corporate

• Acted for Buyer in acquisition of a Singapore Biotechnology and Agriculture Company by Dubai-based entity.
• Acted for offshore Buyer in acquisition of a well-known local Agri-produce and biotechnology firm. Complex Share Swap and Merger.
• Acted for Buyer in acquisition of R&D biotechnology company valued at over S$15 million.
• Acted for German Buyer in acquisition of Singapore IT consulting and resource planning implantation software company, involving associated companies in Malaysia and Philippines.
• Acted for Singapore Seller offering a global solar panel derivatives broking service in Asset Sale transaction involving OPIS.
• Acted for Sellers in acquisition of majority stake in hybrid cloud solution company by Japanese conglomerate valued at over S$11.3 million.
• Worked on a variety of Indonesian cross border corporate transactional work, including Joint venture agreements and termination agreements; Corporate restructuring to bring MNC structures in line with Indonesian laws and regulations; Legal due diligence and M&A work.
• Advising a multimillion-dollar Indian tech firm on ESOP and transfer of their IP worth USD 15 million.
• Advising and designing custom multi-modal Systems Integrator agreements for a multimillion-dollar technology company.
• Advising and drafting of employment agreements for various MNCs.
• Regularly advising SMEs and drafting Website Terms of Service and Privacy Policies, including assisting several SMEs with their Software as a Medical Device (“SAMD”) and Software as a Service (“SaaS”) needs.
